These Terms of Service (“Terms”) govern your access to and use of the Smart-Doc Assist platform and website operated by DibaData Pty Ltd (ABN to be confirmed) (“DibaData”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

“Service” means the Smart-Doc Assist platform, including the web application, chat interface, admin dashboard, document processing pipeline, and all related services provided by DibaData.

“Client” means the organisation that has entered into a service agreement with DibaData for the use of Smart-Doc Assist.

“Authorised User” means any individual granted access to the Service by the Client’s administrator, including administrators and chat users.

“Knowledge Base” means the verified collection of documents uploaded, processed, and indexed within a Client’s dedicated Smart-Doc Assist installation.

“Client Data” means all documents, files, queries, and other content uploaded to or generated within the Service by the Client or its Authorised Users.

2. Eligibility and Access

The Service is available only to organisations that have entered into a valid service agreement with DibaData. Individual consumer use is not supported.

Access to the Service is granted through Authorised User accounts created and managed by the Client’s administrator. You must be an Authorised User to access the Service.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. Description of Service

Smart-Doc Assist is a verified knowledge base intelligence platform that enables organisations to capture institutional knowledge by uploading documents, manage that knowledge under administrator control, and put it to use through accurate, source-cited answers via a natural-language chat interface.

The Service is deployed as a dedicated, sandboxed installation for each Client. There is no shared infrastructure between Clients.

The Service includes document ingestion and processing, intelligent search, AI-assisted question answering with source citations, tag-based access control, anonymisation, admin oversight, and usage tracking.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

5. Client Data and Ownership

All Client Data remains the exclusive property of the Client. DibaData does not claim any ownership rights over documents, queries, responses, or any other content uploaded to or generated within the Service.

DibaData does not use Client Data to train, improve, or develop AI models or any other products. Client Data is used solely to provide the Service to the Client.

The Client is responsible for ensuring that all documents uploaded to the Service are owned by or licensed to the Client, and that their use within the Service does not infringe any third-party intellectual property rights.

6. Privacy and Data Handling

Smart-Doc Assist is designed with privacy as a core architectural principle. The following safeguards are built into the system:

DibaData collects limited operational data necessary to provide, maintain, and improve the Service, including system performance metrics, error logs, and aggregate usage statistics. This operational data does not include the content of Client documents or AI responses.

7. Intellectual Property

The Service, including its design, architecture, interface, and all underlying technology, is the intellectual property of DibaData Pty Ltd and is protected by applicable intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service beyond the limited right to access and use it as an Authorised User under a valid service agreement.

Feedback, suggestions, or feature requests you provide may be used by DibaData to improve the Service without obligation or compensation.

8. Service Availability

DibaData uses commercially reasonable efforts to maintain the availability of the Service. However, the Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

DibaData does not guarantee uninterrupted or error-free operation of the Service. Specific service-level commitments, if any, are detailed in the Client’s service agreement.

9. Fees and Payment

Fees for the Service are set out in the Client’s service agreement or order form. These Terms do not independently create any payment obligation.

AI reasoning costs may be incurred on a token-consumption basis, either through the Client’s own API key or through DibaData-managed credit packages, as specified in the service agreement.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While Smart-Doc Assist is designed to deliver accurate, source-cited answers, DibaData does not warrant that responses will be error-free, complete, or suitable for any specific legal, medical, financial, or regulatory purpose.

AI-generated responses should be verified by qualified professionals before being relied upon for critical decisions.

11. Limitation of Liability

To the maximum extent permitted by Australian law, DibaData’s total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the fees paid by the Client to DibaData in the twelve (12) months preceding the claim.

In no event shall DibaData be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded by agreement.

12. Termination

These Terms remain in effect for the duration of the Client’s service agreement.

DibaData may suspend or terminate an Authorised User’s access immediately if the user breaches these Terms or if the Client’s service agreement is terminated.

Upon termination, the Client may request export of their Client Data in accordance with the service agreement. After the agreed data retention period, Client Data will be permanently deleted from DibaData’s systems.

13. Changes to These Terms

DibaData may update these Terms from time to time. Material changes will be communicated to Client administrators via the admin dashboard or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
